Synergy Terms of Service
Version 1.0 — Effective August 31, 2026
ARBITRATION NOTICE — THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER (SECTION 9). BY ACCEPTING AN INVITATION TO SYNERGY OR SIGNING IN TO THE SERVICE, YOU AGREE THAT DISPUTES WILL BE RESOLVED BY INDIVIDUAL ARBITRATION IN CALIFORNIA, NOT IN COURT, AND THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. CLAIMS MUST BE BROUGHT WITHIN ONE YEAR. SMALL CLAIMS COURT REMAINS AVAILABLE FOR QUALIFYING DISPUTES.
Version 1.0 — Effective August 31, 2026. Synergy is offered by Ryan Hanau, Inc. ("RHI," "we," "us," or "our") under its Experience Plus brand. These Synergy Terms of Service (the "Terms") govern your access to and use of Synergy, an AI-assisted video-creation service marketed at www.puresynergy.app and operated at app.puresynergy.app (the "Service"). By accepting an invitation to the Service, or by signing in, you agree to these Terms.
1. Access and License
1.1 Synergy is invite-only. There is no self-serve signup. Accounts are granted after a call with our team, at our sole discretion. We may decline to grant, or may delay, access to any applicant for any reason.
1.2 Subject to these Terms, we grant you a personal, non-exclusive, non-transferable license to access and use the Service for your own business purposes, or those of the organization on whose behalf you were granted access. You may not share your login credentials, resell access, or provide the Service to third parties as your own offering.
1.3 Your access is subject to usage caps and rate limits, which may apply to the number of films you generate, their length or resolution, or the pace at which you may submit briefs. We may adjust these caps at any time. Caps are a feature of the Service, not a defect, and are not separately compensable.
1.4 Because access is invite-only, we may suspend or revoke it at any time as described in Section 7.
2. Fees and Payment
2.1 Access to Synergy is currently granted without charge. We do not currently bill for accounts, films, or usage under any tier.
2.2 We offer pricing tiers named Fast, Plus, and Cinema, which today describe render pace and quality rather than a bill. We may introduce paid subscriptions or fees for any tier, or for the Service generally, at a future date. If and when we do, we will present the applicable price and terms to you before any charge is made, and no fee will be charged to your account without your affirmative agreement at that time.
2.3 If paid tiers are introduced, this Section will be updated to state the applicable fees, billing cadence, and refund terms, and the updated version will be presented to you for review before it applies to your account.
2.4 "Unlimited" and fair use. Where a tier is described as "unlimited" (for example, unlimited briefs or unlimited brand systems), that means no fixed monthly allotment — it does not mean without limit. All use remains subject to the usage caps, rate limits, and fair-use controls described in Section 1.3, applied to keep the Service performant and available for every customer. Use that is automated, resold, shared beyond your organization, or far outside the range of ordinary business use of the Service may be throttled, and persistent circumvention attempts are a violation of Section 4.
3. Your Content and Our License
3.1 Your ownership. As between you and us, you own the films generated from the briefs, prompts, and materials you submit to the Service ("Customer Content"), subject to Section 3.2.
3.2 Third-party model terms. Synergy orchestrates third-party artificial intelligence models to generate films. Those providers' own terms may impose additional conditions on the output they help produce, including limitations on exclusivity or on the rights that can be granted in generated material. Your ownership under Section 3.1 is subject to those third-party terms, which are outside our control. We will make reasonable efforts to flag any such limitation that is material and known to us.
3.3 License to us. You grant us a worldwide, royalty-free license to host, store, process, transmit, and display your briefs and the films generated from them, solely as necessary to operate, maintain, and improve the Service and to provide it to you.
3.4 Marketing use requires permission. We will not use your films for product demonstration or marketing purposes unless you separately and affirmatively permit us to do so. Absent that permission, your content is used only to provide the Service to you.
4. Acceptable Use
You agree not to use the Service to:
- create or distribute unlawful, deceptive, or fraudulent content;
- infringe the intellectual property, publicity, or privacy rights of any person or entity;
- create content that is harmful, harassing, or that depicts real individuals without their consent;
- attempt to circumvent usage caps, rate limits, or authentication controls, including by using multiple accounts to exceed limits granted to a single account; or
- reverse engineer, scrape, or otherwise attempt to extract the Service's underlying systems, prompts, or models.
We may investigate suspected violations and may suspend or terminate access for a violation of this Section, as described in Section 7.
4A. Content standards and enforcement. Every brief is screened before it is rendered, and the models we orchestrate apply their own filters as well. A brief may be refused for asking for: sexual or suggestive content; minors in any sexual, romantic or unsafe framing; real, named or recognisable people, their likeness or their voice; graphic violence, gore or cruelty; hate, harassment or demeaning depictions of a protected group; extremist or terrorist material; illegal acts, weapons or drugs; medical, legal or financial claims presented as fact; political campaigning or election material; impersonation of a real brand; or attempts to defeat these controls. Ordinary commercial and cinematic language — action, stunts, sport, and figures of speech — is not a violation and renders normally.
Enforcement is one warning, then suspension. The first refused request returns these standards in full, so you know exactly where the line is. If a further request is refused, the account is suspended; a standard suspension lasts seven days, and you may write to us to have it reviewed. Two exceptions carry no warning and are suspended on the first instance, pending review by us: any sexual framing of a minor, and non-consensual sexual content. A refusal by a model provider's own filter counts the same as a refusal by ours. We keep a record of refused requests for the purpose of operating these controls.
5. AI-Generated Output
5.1 How films are made. Films are generated by third-party artificial intelligence models that the Service orchestrates on your behalf, guided by the briefs, prompts, and creative direction you provide.
5.2 Probabilistic, not guaranteed. Generated output is probabilistic. The same brief may produce different results on different runs, and results may not match what you expected or requested. We do not warrant that any generated film will be accurate, suitable for a particular purpose, or free of error.
5.3 Your responsibility to review. You are solely responsible for reviewing generated output before publishing, distributing, or otherwise relying on it, including for factual accuracy, appropriateness, and compliance with applicable law. AI-generated output may be inaccurate, may resemble existing third-party works despite no intent to copy them, and carries no guarantee that it is eligible for copyright registration in any jurisdiction.
5.4 As-is output. Generated films are provided "AS IS" and "AS AVAILABLE," without warranty of any kind regarding their content, accuracy, or fitness for any particular use.
6. Disclaimers
THE SERVICE, INCLUDING ALL GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME, AND USAGE CAPS OR RATE LIMITS DESCRIBED IN SECTION 1.3 MAY AFFECT AVAILABILITY AT ANY GIVEN MOMENT. WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR BEHAVIOR OF THE THIRD-PARTY MODELS THE SERVICE ORCHESTRATES.
7. Conduct and Termination
7.1 Because Synergy accounts are invite-only, we may suspend or terminate your access at any time, with or without cause, and with or without notice. Where practical, we will give notice and an opportunity to address a violation before terminating for cause.
7.2 We may suspend or terminate your access immediately, without notice, for a violation of Section 4 (Acceptable Use), for suspected fraud or misuse, or where required by law.
7.3 Termination of your access does not affect any obligation that by its nature should survive, including Sections 3 (as to content already generated), 6 (Disclaimers), 9 (General), and 10 (Limitation of Liability and Indemnity).
8. Privacy
Our collection and use of your information is described in our Privacy Policy at https://www.experienceplus.ai/privacy-policy, which is incorporated into these Terms by reference.
9. General
9.1 Governing law. These Terms are governed by the laws of the State of California, without giving effect to conflict of laws principles.
9.2 Dispute resolution. Disputes arising out of or relating to the Service or these Terms are subject to binding arbitration administered by JAMS in California, conducted virtually, with class actions waived and claims brought within one year. Small claims court remains available for qualifying disputes. Nothing in this Section limits any right that cannot be waived under applicable law.
9.3 Changes to these Terms. We may update these Terms from time to time. Material changes will be versioned, and where practical we will give notice before they take effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
9.4 Severability. If any provision of these Terms is held unenforceable, the remainder stays in effect.
9.5 Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreement on the subject, except that a separate signed agreement between you and us that expressly addresses the Service will control over any conflicting provision here.
9.6 Notices. Formal legal notice to us must be sent in writing to Ryan Hanau, Inc., 1831 Poipu Rd, Apt 720, Koloa, HI 96756-9429. All other inquiries: the contact form at https://www.experienceplus.ai/contact.
10. Limitation of Liability and Indemnity
10.1 To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.
10.2 We will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost business opportunities, lost data, or reputational harm, whether in contract, tort, or otherwise, even if advised of the possibility.
10.3 You agree to indemnify and hold harmless RHI and its officers, directors, employees, and agents from any third-party claim arising out of your Customer Content, your use of the Service in violation of Section 4, or your breach of these Terms.
10.4 Nothing in this Section limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.
